BCR’s Corporate and Business Transactional practice represents startups, small and medium- sized businesses, and mature corporations from around the world in connection with their business operations, investments, and strategic transactions.
We advise startups on business formation, including assisting non-U.S. clients in establishing a presence and operations in the United States. BCR assists clients with the financing, acquisition, and sale of businesses and commercial assets, as well as the structuring and development of projects. Our attorneys also represent clients on a wide range of commercial transactions, including agreements with customers, distributors, partners, employees, and consultants, as well as confidentiality, non-compete, employment, independent contractor, distribution, and joint venture agreements.
In addition, we advise clients on trademark and copyright protection as well as employment matters. We assist clients with corporate governance issues, including fiduciary duties and responsibilities of members, shareholders, directors and management. We also advise not-for- profit and tax-exempt organizations on general corporate matters and qualification for tax exemption under IRC 501(c)(3).
